Acceptance of Terms
These Terms & Conditions ("Terms") form a binding agreement between you or the entity you represent ("you", "Customer") and MetricAI ("we", "our", "us"). By registering for, accessing, or using the MetricAI service (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, you may not use the Service.
The Service
MetricAI provides infrastructure for metering, routing, and billing AI API traffic, including usage analytics, cost attribution, cache and savings insights, latency monitoring, and related developer tooling. Features may be added, changed, or removed as the Service evolves.
Accounts & Eligibility
- You must be at least 18 years old and legally capable of entering into a contract.
- You are responsible for the accuracy of the information provided during registration and for keeping it up to date.
- You are responsible for all activity that occurs under your account and for safeguarding your login credentials.
- You must promptly notify us of any unauthorized access or use of your account.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Send content that is unlawful, harmful, defamatory, or infringes intellectual property rights.
- Attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure.
- Interfere with, disrupt, or circumvent the integrity, security, or rate limits of the Service.
- Reverse engineer, resell, or use the Service to build a directly competing product.
API Keys & Credentials
- MetricAI-issued API keys are hashed on our systems and shown to you only once at creation.
- You are responsible for securely storing and rotating your MetricAI API keys.
- Provider API keys (e.g. OpenAI, Anthropic) are never stored by MetricAI - they are supplied through request headers from your application at request time.
- Any activity performed with your keys is deemed authorized by you.
Customer Data
As between the parties, you retain all rights in the data you submit to the Service ("Customer Data"). You grant MetricAI a limited, worldwide, non-exclusive licence to process Customer Data solely to operate, secure, support, and improve the Service, and to comply with legal obligations.
By default, request and response bodies of AI calls are not stored. Prompt or output logging is off unless you explicitly enable it from Dashboard → Settings → Data & Privacy. Usage metadata (tokens, cost, latency, timestamps, model identifiers, status) is always recorded to power billing, analytics, and reliability.
Third-Party Providers
The Service integrates with third-party providers such as Razorpay (billing), OpenAI, Anthropic, Google, and other AI providers, as well as exchange-rate providers. Your use of those providers through the Service is subject to their own terms and privacy policies. MetricAI is not responsible for the availability, accuracy, or conduct of third-party providers.
Fees, Billing & Taxes
- Fees for paid plans are billed in advance on a recurring basis (monthly or annually) as described on the Pricing page.
- Usage-based overage charges accrue during the billing period and are billed at the end of that period.
- All prices are exclusive of taxes; you are responsible for any applicable GST or other indirect taxes, which will appear on your invoice.
- Payments are processed by Razorpay. Successful payment authorizes MetricAI to charge the associated payment method for renewals until cancelled.
- Except where required by law, fees are non-refundable.
Free Trial & Overages
The Developer plan is offered free for the first three (3) months from account creation. After the trial, standard plan pricing and any accrued overage charges apply unless you downgrade or cancel. You are responsible for monitoring your usage; MetricAI provides budget controls and alerts to help.
Suspension & Termination
- You may cancel your subscription at any time from the Dashboard. Cancellation stops future renewals and takes effect at the end of the current billing period.
- We may suspend or terminate the Service (in whole or in part) if you materially breach these Terms, fail to pay fees, or if continued provision would create a legal or security risk.
- Upon termination, your right to access the Service ends. We may delete Customer Data after a reasonable retention period unless earlier deletion is requested or required by law.
Intellectual Property
MetricAI and its licensors retain all right, title, and interest in the Service, including all software, documentation, dashboards, logos, and trademarks. No rights are granted to you except the limited right to use the Service in accordance with these Terms. Feedback you submit may be used by MetricAI without restriction.
Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Service using the same standard of care it uses to protect its own confidential information (and no less than reasonable care), and will use it only to perform under these Terms.
Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MetricAI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs from third-party AI providers will be accurate or suitable for your use case.
Limitation of Liability
To the maximum extent permitted by law, MetricAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or related to the Service will not exceed the fees paid by you to MetricAI in the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless MetricAI, its affiliates, and their respective personnel from any claims, damages, or expenses arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of any applicable law or third-party right.
Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-laws principles. The courts located in Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory local law provides otherwise.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
